Terms of Use

These Terms of Use (the “Terms”) govern your access to and use of the Moodiri marketing website at moodiri.com (the “Site”), which is operated by Moodiri Inc. (“Moodiri,” “we,” or “us”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, do not use the Site.

These Terms apply only to the Moodiri marketing website. The Moodiri product application at app.moodiri.com is governed by its own separate terms, which you accept when you sign up for or use that service.

These Terms do not create an account relationship and do not entitle you to use the Moodiri product. Joining the waitlist or requesting a demo does not guarantee access to the product.

You must have the legal capacity to enter into these Terms. If you use the Site on behalf of a company or other organization, you represent that you are authorized to bind that organization to these Terms.

We grant you a limited, revocable, non-exclusive, non-transferable license to access and view the Site for your personal or internal business purposes of evaluating Moodiri. All other rights are reserved.

You agree not to:

• Copy, modify, distribute, sell, or lease any part of the Site, except as expressly permitted by these Terms;
• Reverse engineer, decompile, or attempt to extract source code from the Site, except where such restriction is prohibited by applicable law;
• Access the Site through automated means in a manner that substantially exceeds normal browsing, or that places an undue load on our infrastructure;
• Probe, scan, or test the vulnerability of the Site, or breach or circumvent any security or authentication measure;
• Use the Site to transmit malware, spam, or other unlawful or harmful content;
• Use the Site or its content to develop a product or service that competes with Moodiri; or
• Use the Site in any way that violates applicable law or these Terms.

The Site and its contents — including text, graphics, logos, images, video, software, and the overall design — are owned by Moodiri Inc. or its licensors and are protected by intellectual property laws. “Moodiri” and the Moodiri mark and logo are trademarks of Moodiri Inc.. You may not use them without our prior written permission, except for fair uses such as nominative reference.

When you submit a waitlist signup, demo request, or any feedback or suggestion through the Site, you confirm that the information you provide is accurate and that you have the right to share it. You grant us the right to use any feedback or suggestions you send for any purpose without obligation to you.

We may decline, delay, or cancel any waitlist invitation or demo request at our discretion.

The Site may link to or rely on third-party websites and services that we do not control. We are not responsible for their content, policies, or practices. Your use of any third-party site or service is subject to that third party’s terms.

Our handling of information collected through the Site is described in our Privacy Policy, which is incorporated into these Terms by reference.

The Site is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising out of course of dealing or usage of trade.

We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components, or that the information on the Site is accurate, complete, or current. Any descriptions of the Moodiri product on the Site are forward-looking and subject to change.

To the fullest extent permitted by law, in no event will Moodiri Inc. or its officers, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, data, or goodwill, arising from or related to your use of the Site, whether based on warranty, contract, tort, or any other legal theory, and whether or not we have been advised of the possibility of such damages.

Our aggregate liability for any claim arising out of or relating to your use of the Site will not exceed one hundred U.S. dollars ($100).

You agree to indemnify and hold harmless Moodiri Inc. and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Site or your violation of these Terms.

We may modify, suspend, or discontinue all or any part of the Site at any time, with or without notice. We may also restrict your access to the Site if we reasonably believe you have violated these Terms. Sections of these Terms that by their nature should survive termination will survive.

We may update these Terms from time to time. When we do, we will revise the “last updated” date at the top of this page. Your continued use of the Site after the changes take effect constitutes your acceptance of the updated Terms.

These Terms are governed by the laws of the jurisdiction in which Moodiri Inc. is incorporated, without regard to conflict of laws principles. Any dispute arising out of or relating to these Terms or the Site will be resolved in the courts of that jurisdiction, except where applicable law requires otherwise.

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be a waiver of that right or provision. These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the Site.
